Norwegian Cruise Line Holdings has appointed five new independent directors to its Board effective 31st March 2026 as part of a cooperation agreement with Elliott Investment Management. Alex Cruz, Kevin A. Lansberry, Steve Pagliuca, Brian P. MacDonald and Jonathan Z. Cohen are joining while John W. Chidsey is appointed Chairman and Alex Cruz has been appointed Lead Independent Director. Stella David, David M. Abrams, Harry C. Curtis and Mary E. Landry are resigning from the Board.

The refreshed Board comprises nine members with eight independent directors and is supporting improved execution under the new management team. The company’s slate for the 2026 Annual General Meeting consists of Zillah Byng-Thorne, Linda P. Jojo and Alex Cruz. Elliott is agreeing to customary standstill and voting commitments.

John W. Chidsey is confirming the company is moving with urgency to strengthen the business and enhance execution while Zillah Byng-Thorne thanked the outgoing directors for their service.

Zillah Byng-Thorne, Chairperson of NCLH’s Nominating and Governance Committee shared “On behalf of the entire Board, I thank Stella, David, Harry and Mary for their years of dedicated service to the Board and to shareholders.”

John W. Chidsey, President and Chief Executive Officer shared “We are moving with urgency to strengthen the business and enhance execution.”

Elliott Partner John Pike shared “As NCLH’s largest investor, we see the potential for significant value creation ahead under John’s leadership.”
