Air Transport Services Group has revealed the sale of passenger charter carrier Omni Air International to OAI Holdings, LLC for an undisclosed sum. Omni air has long been a familiar sight at Shannon airport.

The sale forms part of ATSG’s strategy of investing in and building out its core air cargo and related aviation services businesses. The charter carrier currently operates 11 aircraft. Eight are owned by ATSG via its lessor Cargo Aircraft Management, and all of them are included in the transaction. The remaining three aircraft are not owned by CAAM and are separate from this transaction. These are all Boeing 767-300ERs, with two owned by Team 125 and one by AerCap.

OAI intends to build on Omni’s established position in the passenger ACMI and charter markets while supporting the company’s next chapter and long-term development. On closing, ATSG’s portfolio will be centred on air cargo transportation, aircraft leasing and related maintenance and logistics services, both companies stated. The acquisition of Omni Air International is pending regulatory approval, and the transaction is expected to close in the fourth quarter of 2026 or early 2027.

ATSG, which last year was acquired by American investment firm Stonepeak in a transaction valued at approximately $3.1bn, now owns ABX Air, ATI – Air Transport International, leasing company Cargo Aircraft Management, bundled services provider Airborne Global Solutions, training firm Airborne Training Services, MRO Airborne Maintenance and Engineering Services and PEMCO Conversions.
